Alabama Association of School Nurses, Inc. Bylaws



ARTICLE I – NAME


The name of the Association shall be the Alabama Association of School Nurses.

ARTICLE II – OBJECT


The object of this association shall be to promote quality school health services and health education throughout Alabama, by increasing the effectiveness of its members.

ARTICLE III – AFFILIATION


Section I - Affiliation

The Association is an affiliate of the Alabama Education Association and the National Association of School Nurses, Inc.

ARTICLE IV – MEMBERSHIP


Section I – Classes of Membership

Members of the Alabama Association of School Nurses shall be designated as Active, Associate, Retired, or Honorary.


a. Active Members

Any professional nurse registered in the State of Alabama upon payment of dues shall be an active member provided the individual is contracted for or employed by an agency for the purpose of providing school health services, or instructing in school health.


b. Associate Members

Any allied health professional or professional registered nurse who is not eligible for active membership, upon payment of dues, shall be an associate member. Any interested person who supports the goals and purposes of the Alabama Association of School Nurses, upon payment of dues, shall be an associate member. Associate members shall not vote or hold office.


c. Retired Members

Any school nurse member who retires and notifies AASN, shall not be required to pay dues. Retired members shall be entitled to all membership rights excluding the right to vote and hold office, but may serve on a committee.


d. Honorary Members

Honorary membership, upon recommendation by the Board of Directors, may be accorded to anyone sympathetic with the purpose of this association by a majority vote of the members present at the annual meeting. Honorary members shall not vote or hold office nor will dues be collected from them.


Section II – Membership Year

The membership year and the fiscal year for the Association shall be August 1 July 31.


Section III – Dues

a.

The dues for this Association shall be set at the annual meeting.

b.

Dues are payable August 1 for the following fiscal year and will not be accepted after March 31 for the current fiscal year.


Section IV – Districts

The membership shall be divided into geographical areas called districts. District boundaries may be changed by a majority vote at any annual meeting. A chairman shall be selected from each district.

ARTICLE V – OFFICERS


Section I – Officers

The officers of the Association shall be President, First Vice President, Second Vice President, Recording Secretary, Treasurer, Director, Director-Elect, and Immediate Past President. The officers shall serve for a term of one year; except for the Director who may serve for a term of two years with the option to serve a second consecutive two year term (maximum of four years) and the Director-Elect who serves for one year and then assumes the responsibility of the Director. No officer shall be eligible for consecutive reelection to the same office with the exception of the treasurer and recording secretary who may be reelected for a second term. The President may appoint a Corresponding Secretary, who will serve without voting privileges at the meeting of the Executive Committee and the Board of Directors. The President may appoint a Parliamentarian. The officers shall be elected at the annual meeting assume office at the close of the annual conference.


Section II – Qualifications of Officers

a.

All officers must hold active membership in the Alabama Association of School Nurses. If an officer becomes delinquent with dues, that office will be considered vacant and shall be filled according to the bylaws.

b.

The President must be employed as a full-time school nurse for five years and have been active member in this Association for three years.

c.

The First Vice President must be employed as a full-time school nurse for four years and have been an active member in this Association for two years.

d.

The Second Vice President must be employed as a full-time school nurse for three years and have been an active member in this Association for one year.

e.

The Recording Secretary must be employed as a full-time school nurse and have been an active member in this Association for one year.

f.

The Treasurer must be employed as a full-time school nurse and have been an active member in this association for one year.

g.

The Director must be employed as a full-time school nurse for five years, served on the Board of Directors of the association, have been a member of this Association for three years, and have held an active membership in the National Association of School Nurses for one full year.

h.

The Director-Elect must be employed as a full-time school nurse for four years, served on the Board of Directors of the Association, have been a member of this association for two years, and have held active membership in the National Association of School Nurses for one full year.

i.

The Immediate Past President must hold an active membership in this Association to serve on the Executive Committee.

j.

The Corresponding Secretary must hold active membership in this Association.

ARTICLE VI – DUTIES OF OFFICERS


Section I – Presidential Duties

The President shall preside at all meetings of the Executive Committee, serve as ex-officio member of all committees except the Nominating Committee. The President shall appoint all committees, excluding the Nominating Committee, with the approval of the Executive Committee. The President shall perform all other duties usually incidental to the office of President, and all other duties as may be assigned by the Executive Committee.


Section II – First Vice-President Duties

The First Vice-President shall serve as chairman of the program and continuing Education committee, act in the absence of the President and assume the presidency in the event of death or resignation of the President, and then shall serve the term of President the subsequent year. The First Vice President shall perform such other duties as may be required or assigned by the President.


Section III – Second Vice President Duties

The Second Vice President shall serve on the program and continuing Education committees, shall assist the First Vice President with the annual conference, and then shall serve the term of First Vice President the subsequent year.


Section IV – Recording Secretary

The Recording Secretary shall keep full and accurate minutes of the meetings of the Association and perform other duties as may be assigned by the President or Executive Committee. A copy of the minutes will be forwarded to the Executive Board members within two weeks after the meeting.


Section V – Treasurer Duties

The Treasurer shall keep accurate accounts of receipts and disbursements in the books of the Association. The Treasurer shall serve as chairman of the Finance Committee and member of the Membership Committee


Section VI – Director Duties

The Director shall serve on the Executive Committee, assist the President as needed with assigned duties and serve as representative to the National Association of School Nurses. The Director shall serve as chair of the Awards and Recognition committee.


Section VII – Director-Elect Duties

The Director-Elect shall serve on the Executive Committee, assist the President and Director as needed. The Director-Elect shall act in the absence of the Director and assume the Directorship in the event of the death or resignation of the Director, and then shall serve the remainder of the Director’s term. The Director-Elect will represent the Association at the National level if the Director is unable to do so.


Section VIII – Corresponding Secretary Duties

The Corresponding Secretary shall handle correspondence and attend all meetings of the Association, including meetings of the Executive Committee and the Board of Directors.

ARTICLE VII – EXECUTIVE COMMITTEE


Section I – Executive Committee Members

The members of the Executive Committee shall be: President, First Vice President, Second Vice President, Recording Secretary, Treasurer, Director, Director-Elect, and Immediate Past President.


Section II – Executive Committee Duties

The Executive Committee shall approve all committee appointments, implement projects or activities adopted at official meetings; determine policy between official meetings; and shall authorize all official meetings of this Association.


Section III – Executive Committee Vacancies

The Executive Committee shall fill any vacancies occurring in that body.


Section IV – Executive Committee Appointments

The Executive Committee shall appoint a representative(s) to other professional organizations at the appropriate time as deemed to be in the interest of the Association.


Section V – Executive Committee Meetings

The Executive Committee shall meet at least once a year, additional meetings may be called as deemed necessary.


Section VI – Executive Committee Quorum

A quorum of the Executive Committee shall be a majority of its members.

ARTICLE VIII – BOARD OF DIRECTORS


Section I – Board of Directors Members

The members of the Board of Directors shall be: President, First Vice President, Second Vice President, Recording Secretary, Treasurer, Director, Director-Elect, Immediate Past President, all Committee Chairmen, and District Representatives.


Section II – Board of Directors Meetings

The Board of Directors shall meet at least quarterly. The Executive Committee may call additional meetings of the Board when deemed necessary.


Section III – Board of Directors Quorum

A quorum of the Board of Directors shall be a majority of its members.

ARTICLE IX – COMMITTEES


Section I – Committees

There shall be the following committees: Awards and Recognition; Bylaws; Continuing Education; Finance; Legislative; Membership; Nominating; Programs; Public Relations; and Ways and Means.


Section II – Special Committees

The President shall appoint, with approval of the Executive Committee, such special committees as deemed necessary.


Section III – Auditing Committee

An auditing Committee comprised of three members shall be appointed by the President at least five months before the close of the fiscal year. Their duty shall be to audit the Treasurer’s accounts at the close of the fiscal year and to submit the report to the Executive Committee by November one.


Section IV – Awards and Recognitions Committee

The Awards and Recognitions Committee shall consist of the director, director-elect, and three members. The committee shall set and publicize criteria for selection of Alabama School Nurse of the Year, choose a recipient for the award from nominations submitted and plan the award ceremony for those and other recognitions as approved by the Board.


Section V – Bylaw Committee

The Bylaws Committee shall consist of at least two members who shall receive written proposed amendments from members at large or the Executive Committee. The Bylaws Committee shall edit and present such amendments to the Association. Proposed amendments shall be in writing to the President one week prior to the annual meeting, and also posted for membership viewing one hour prior to the annual meeting.


Section VI – Continuing Education Committee

The Continuing Education Committee shall consist of the First and Second Vice President and at least two members, who shall be responsible for implementing the requirements for continuing education as mandated by the Alabama State Board of Nursing.


Section VII – Finance Committee

The Finance Committee shall be comprised of the treasurer and four other members, and it shall be the responsibility of this committee to prepare a budget for the following fiscal year. This budget shall be submitted to the Board of Directors at the Board meeting previous to the annual meeting; and to submit the budget to the membership at the annual meeting. The Finance Committee may from time to time submit amendments to the budget for the current fiscal year, which may be adopted by a majority vote of the Board of Directors.


Section VIII – Legislative Committee

The Legislative Committee shall be comprised of four members, a chairperson and three members. It shall be the responsibility of this committee to propose and submit a federal and state legislative program that supports and advances the goals and mission of the Association.


Section IX – Membership Committee

The membership committee shall be comprised of four members, a Membership Chairman, the Treasurer as chairman and two members. The Membership Chair shall keep an accurate and current list of all school nurses in Alabama, be responsible for responsible for receiving membership dues and submitting them to the treasurer, and encourage active membership in this Association. The Membership Chair will be responsible for notices being sent in July to all members of payment of dues for the coming year which begins August 1 each year.


Section X – Nominating Committee

The Nominating committee of three members shall be elected at the annual meeting. It shall be the duty of this committee to nominate candidates for the offices to be filled at the next annual meeting. The Nominating committee shall report a list of potential nominees to the Board of Directors two weeks prior to the annual meeting. Additional nominations from the floor shall be permitted.


Section XI – Program Committee

The Program Committee shall consist of the First and Second Vice President and two members. The Program Committee shall be responsible for the annual program for the Association. The program shall be submitted to the Board of Directors for approval prior to the annual meeting.


Section XII – Public Relations Committee

The Public Relations Committee shall consist of the Newsletter Editor, Web Page Chair, and two members. The Committee shall inform the membership and public of the Association goals and activities that will promote school nursing.


Section XIII – Ways and Means Committee

The Ways and Means Committee shall consist of three members whose duties are to promote fund raising activities for the Association.

ARTICLE X – MEETINGS


There shall be an annual business meeting and election of officers. This date shall be set by the Executive Committee who shall also arrange for other business meetings as necessary.

ARTICLE XI – RULES


Section I – Governing Authority

The latest edition of Robert’s Rules of Order, revised, will be the governing authority of this Association in all cases to which they are applicable and in which they are not inconsistent with these bylaws.


Section II – Quorum

A quorum shall consist of one third of the active membership.

ARTICLE XII – AMENDMENTS


These bylaws may be amended at the annual meeting of this association with a majority vote.
